27 V.S.A. § ___ § 1359
Protection of tenants
Operative Text
(a) Within 30 days after the notice of conversion, a leaseholder must notify any tenants in possession of the leased site of the intended conversion. The notice shall be delivered by certified mail to the tenant. The notice of conversion shall contain at least a notice of the intended conversion, the nature of the leaseholder’s possessory interest in the site, and a description of the tenant’s rights under subchapter 2 of this chapter. (b) A tenant shall have the same rights against the leaseholder as are provided to tenants of buildings against declarants under subchapter 2 of this chapter. (Added 1993, No. 97, § 1; amended 2023, No. 6, § 369, eff. July 1, 2023.)
Under 27 V.S.A. ch. 15 § 1359, when a leased site is being converted, the leaseholder must inform any tenants currently occupying that site within 30 days of receiving a conversion notice. That notification must be sent by certified mail and must include the fact of the intended conversion, the nature of the leaseholder's interest in the property, and a summary of the tenant's rights under subchapter 2 of the same chapter. Tenants in this situation are granted the same legal protections against the leaseholder that tenants of buildings receive against declarants under subchapter 2.

Under 27 V.S.A. ch. 15 § 1359, a leaseholder who receives a notice of conversion is generally expected to act promptly — sending certified mail to all tenants in possession within the 30-day window. That mailing must cover three specific elements: the fact of the intended conversion, the nature of the leaseholder's possessory interest, and a clear description of tenant rights under subchapter 2. Operators who manage leased sites subject to conversion typically maintain documentation of when and how each required notice was sent to demonstrate compliance.

Section 1359 of 27 V.S.A. ch. 15 gives tenants occupying a leased site the right to receive written notice — by certified mail — within 30 days of a conversion being initiated, along with a description of their rights under subchapter 2 of the same chapter. Tenants in this situation hold the same protections against the leaseholder that building tenants hold against declarants, which may include rights related to purchase opportunities or extended occupancy. Tenants who believe they did not receive the required notice or whose rights under § 1359 may have been affected can explore options such as contacting a local tenant-rights organization or consulting Vermont's legal aid resources for general guidance.
