25 Del. C. ch. 51 § 5110
Rental agreement; effect of unsigned rental agreement
Operative Text
(a) If the landlord does not sign a written rental agreement which has been signed and tendered to the landlord by the tenant, acceptance of rent without reservation by the landlord shall give to the rental agreement the same effect as if it had been signed by the landlord. (b) If the tenant does not sign a written rental agreement which has been signed and tendered to the tenant by the landlord, acceptance of possession and payment of rent by the tenant, without reservation, shall give to the rental agreement the same effect as if it had been signed by the tenant. (c) Where a rental agreement which has been given effect by the operation of this section provides by its terms for a term longer than 1 year, it shall operate to create only a 1-year term.
Under 25 Del. C. ch. 51 § 5110, a written rental agreement can become legally binding even without a formal signature from one of the parties. If a landlord accepts rent without reservation after receiving a tenant-signed agreement, the agreement is treated as though the landlord signed it. Conversely, if a tenant takes possession and pays rent without reservation after receiving a landlord-signed agreement, the agreement is treated as though the tenant signed it. Additionally, if such an agreement would otherwise run longer than one year, it is automatically limited to a one-year term under this provision.
Plain English — not legal advice.
Under § 5110, property owners and managers should be aware that accepting rent payments without reservation can legally bind them to the terms of a written agreement they never formally signed. Compliant operators typically review any tenant-submitted rental agreement carefully before accepting payment, and they communicate any objections or reservations clearly and promptly to avoid unintended adoption of unfavorable lease terms. Operators also keep in mind that even if an agreement specifies a term longer than one year, § 5110 limits the enforceable term to one year when the agreement takes effect through this mechanism.

Section 5110 of Title 25 of the Delaware Code provides tenants with meaningful protections around unsigned rental agreements. When a tenant takes possession of a unit and pays rent without reservation under a landlord-presented written agreement, that agreement generally carries the same legal weight as a fully signed lease, giving tenants a basis to rely on its written terms. Tenants who believe a landlord is disregarding the terms of an agreement that took effect under § 5110 may consider raising this provision as a defense in any dispute, consulting a tenant-rights organization, or seeking guidance from a housing attorney familiar with Delaware law.
